These terms govern use of the Sirimongkol website and, where applicable, the engagement of our legal services. Please read them carefully. By continuing to use this website or by engaging our firm, you acknowledge that you have read and understood these terms.

2. Acceptance of Terms

Access to and use of the Website constitutes acceptance of these terms in full. If you do not accept these terms, please discontinue use of the Website immediately.

Engagement of legal services is subject to a separate written engagement letter, which will govern the specific scope, fees, and terms of representation. In the event of conflict between these terms and a signed engagement letter, the engagement letter prevails.

Our services are available to individuals who have reached the age of majority (18 years or older) and who have the legal capacity to enter into binding agreements under Thai law. By using this Website or engaging our services, you represent that you meet these requirements.

3. Service Description

Sirimongkol offers the following categories of legal service to business clients and commercial parties:

  1. Commercial Dispute Trial Representation — Representation before the Civil Court and the Central Intellectual Property and International Trade Court in matters including breach of contract, debt collection, agency disputes, and minority shareholder matters.
  2. Mediation & Settlement Counsel — Representation and counsel in court-annexed mediation, Thai Arbitration Institute proceedings, and privately arranged settlement discussions.
  3. Pre-Suit Demand & Strategic Memorandum — Written analysis of contemplated disputes, covering the likely strength of the position on liability, alternatives to litigation, and documentary preparedness.

The information on this Website is provided for general informational purposes only and does not constitute legal advice. Legal advice is provided only within the context of a formally established client relationship confirmed in writing.

Services are directed at commercial parties with a connection to Thailand or disputes subject to Thai jurisdiction. We do not hold ourselves out as qualified to advise on the laws of any jurisdiction other than Thailand without express disclosure to that effect.

4. User Responsibilities

When using this Website or engaging our services, you agree to the following:

  • To provide accurate and complete information in any contact form or communication with the Firm.
  • Not to use the Website for any purpose that is unlawful, misleading, or harmful to others.
  • Not to attempt to access, alter, or disrupt any system, database, or network associated with the Website.
  • Not to submit any content through the Website that infringes the intellectual property rights of any third party.
  • Not to use the Website to solicit clients on behalf of another legal practice or to conduct competitive intelligence gathering.
  • To inform us promptly of any change in circumstances that may affect the conduct of any matter we are handling on your behalf.

The Firm reserves the right to decline an enquiry or refuse an engagement if, in our assessment, acceptance would give rise to a conflict of interest, a breach of professional conduct rules, or any other matter that would make representation inappropriate.

5. Intellectual Property

All Content on this Website — including text, design, layout, and descriptive materials — is the property of Sirimongkol and is protected under applicable Thai intellectual property law.

You are granted a limited, non-exclusive, non-transferable licence to access and view the Content for your own personal or internal business purposes. This licence does not permit:

  • Reproduction or redistribution of substantial portions of the Website Content for commercial purposes.
  • Modification, adaptation, or creation of derivative works from the Content.
  • Removal or alteration of any copyright, trademark, or proprietary notice.

Documents and memoranda prepared by the Firm for a client remain the property of the Firm until all applicable fees are settled, subject to any different arrangement specified in the engagement letter.

6. Fees and Payment

All fees are denominated in Thai Baht (฿) unless otherwise stated in writing. The applicable fee schedule for each matter is set out in the engagement letter or quotation communicated to the client prior to commencement.

Published service prices on this Website represent starting points or indicative figures for standard matters. Complex, multi-party, or protracted matters may attract fees beyond the published schedule. We will communicate any likely variation in advance and in writing.

Standard payment terms are specified in the engagement letter. The Firm may require an advance payment or retainer before commencing substantive work. Interest may be charged on overdue amounts at the rate applicable under Thai law at the relevant time.

Fees for disbursements — such as court filing fees, translation costs, and process server charges — are payable in addition to professional fees and will be itemised in invoices.

7. Confidentiality

Information disclosed to us in the course of an enquiry or engagement is treated as confidential. We will not disclose client confidences except as required by law, court order, professional conduct rules, or with your express written consent.

Please note that communications sent through the contact form on this Website, prior to the establishment of a formal engagement, are received in a general administrative capacity. A solicitor-client relationship is not formed by the submission of a contact form. Formal confidentiality obligations arise from the execution of an engagement letter.

We may retain records of correspondence for regulatory and professional indemnity purposes, consistent with our Privacy Policy.

8. Disclaimers

The Website and its Content are provided on an "as available" basis. While we take reasonable care in maintaining the accuracy of information published here, we do not warrant that the Content is complete, current, or free from error.

  • Indirect, consequential, or incidental losses, including loss of business, lost profits, or reputational damage.
  • Losses arising from reliance on information published on this Website rather than from formal legal advice.
  • Events beyond our reasonable control, including court delays, regulatory changes, or the actions of opposing parties.

Nothing in these terms purports to exclude or limit liability that cannot lawfully be excluded, including liability for fraud, wilful misconduct, or gross negligence.

10. Indemnification

You agree to indemnify and hold harmless Sirimongkol, its lawyers, and staff from any claims, losses, costs, or liabilities — including reasonable legal costs — arising from:

  • Your breach of these terms.
  • Information you provided to us that was inaccurate, incomplete, or misleading.
  • Your use of the Website in a manner inconsistent with these terms or applicable law.

11. Termination

Either party may terminate an engagement by providing reasonable written notice to the other. The Firm may terminate an engagement immediately where continued representation would be inconsistent with our professional obligations, or where instructions are withdrawn.

On termination, you remain liable for all fees and disbursements incurred up to the date of termination. We will return client-owned documents and, where possible, ensure an orderly handover to successor counsel.

Sections of these Terms that by their nature should survive termination — including confidentiality, indemnification, and limitation of liability — shall continue to apply following any termination.

12. Dispute Resolution

These Terms are governed by the laws of the Kingdom of Thailand. Any dispute arising from or in connection with these Terms or the provision of services shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.

Before commencing formal legal proceedings, the parties agree to attempt to resolve any dispute through good-faith discussion. A party wishing to raise a dispute should notify the other in writing, and both parties will engage in discussion for a period of at least 30 days before initiating proceedings.

Where a dispute cannot be resolved through discussion, the parties may agree in writing to refer the matter to mediation under the Thai Arbitration Institute Rules before resorting to litigation. Agreement to mediate must be made at the time the dispute arises and is not obligatory under these Terms unless separately agreed.

13. General Provisions

Entire Agreement: These Terms, together with any signed engagement letter, constitute the entire agreement between the parties and supersede any prior representations or understandings relating to the same subject matter.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, or removed if modification is not possible. The remaining provisions shall continue in full force.

Waiver: Failure to enforce any right under these Terms on a particular occasion does not waive that right in future circumstances.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign administrative functions to affiliated entities subject to maintaining all confidentiality obligations.

Notices: Formal notices should be sent in writing to the address below or by email to [email protected]. Notices are effective upon confirmed receipt.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practice, applicable law, or regulatory requirements. When changes are made, we will update the "Last Updated" date at the top of this page.

Continued use of the Website after a change is posted constitutes acceptance of the revised Terms. We recommend reviewing this page periodically.

For matters under an active engagement letter at the time of any change, the terms of the engagement letter shall govern unless we provide written notice of a material amendment and you confirm acceptance in writing.
